MEMORANDUM OF AGREEMENT MADE THIS 24th DAY OF February ONE THOUSAND EIGHT HUNDRED AND ninety six BETWEEN Alfred Whyman White the Secretary to and on behalf of The Accumulative Bonus Reward Permanent Building Society Incorporated under the Building Society Acts & having its registered office at 181 Great Portland St in the county of Middlesex (HEREINAFTER CALLED THE LANDLord) OF THE ONE PART AND James McNeill Whistler of Dhu House 36 Tite Street Chelsea in the county of London — (HEREINAFTER CALLED THE TENANT) OF THE OTHER PART EACH FOR THEMSELVES THEIR HEIRS EXECUTORS ADMINISTRATORS AND ASSIGNS AS FOLLOWS -

THE SAID LANDLord HEREBY AGREES TO LET AND THE SAID TENANT HEREBY AGREES TO TAKE ALL THAT MESSUAGE TENEMENT OR DWELLING HOUSE Studio AND PREMISES WITH THE APPURTENANCES THERETO BELONGING SITUATE AND BEING in the rear of No. 10 Fitzroy Street and known as No. 6 London Mews in the parish of Saint Pancras in the county of London with right of access at all times from No. 8 Fitzroy Street TOGETHER WITH THE USE OF THE SEVERAL FIXTURES THEREIN.

TO HOLD THE SAID PREMISES FROM THE 25th DAY OF March ONE THOUSAND EIGHT HUNDRED AND ninety six FOR THE TERM OF One Year AT THE CLEAR yearly RENT OF Fifty Pounds (£50) PAYABLE quarterly on each of the four usual quarter days THE FIRST quarters RENT TO BECOME DUE AND PAYABLE ON THE 24th DAY OF June. NEXT. The said Tenant to pay on the signing of this agreement the sum of £2 for the use and occupation of the premises up to the 25th day of March next.

The landlord to do forthwith the repairs mentioned in the tenant's letter of the 16th Feby 1896 to the landlords agents AND THE SAID TENANT HEREBY AGREES WITH THE SAID LANDLord TO PAY THE SAID RENT ON THE DAYS AND IN MANNER AFORESAID AND ALSO The Landlord TO PAY THE LAND TAX SEWERS AND MAIN DRAINAGE RATES AND ALL OTHER RATES TAXES AND ASSESSMENTS WHATSOEVER CHARGEABLE ON THE SAID PREMISES (LANDLORD'S PROPERTY TAX ONLY EXCEPTED). AND the Tenant FURTHER AGREES TO USE THE SAID PREMISES AS AND FOR An Artists Studio ONLY. AND NOT TO ASSIGN UNDERLET OR PART WITH THE POSSESSION OF THE SAID PREMISES WITHOUT THE CONSENT IN WRITING OF THE SAID LANDLORD FIRST OBTAINED. AND NOT TO ALLOW ANY SALES BY AUCTION OF HOUSEHOLD GOODS OR OTHER THINGS IN OR UPON THE SAID PREMISES NOR DO OR SUFFER TO BE DONE IN OR UPON THE SAID PREMISES ANY ACT MATTER OR THING WHICH MAY BE CONTRARY TO OR AT VARIANCE WITH THE COVENANTS CONTAINED IN THE LEASE UNDER WHICH THE SAID LANDLord HOLDS THE SAID PREMISES OR THAT MAY BE OR GROW TO THE ANNOYANCE NUISANCE DAMAGE OR DISTURBANCE OF THE [p. 3] SAID LANDLord OR His SUPERIOR LANDLORD OR THE TENANTS OR OWNERS OF ANY ADJOINING PREMISES AND NOT TO MAKE ANY ALTERATION IN OR ADDITION TO THE PREMISES INCLUDED IN THIS AGREEMENT. AND THE SAID LANDLord SHALL BE ALLOWED TO PLACE A BOARD OR BILL TO LET THE SAID PREMISES ON SOME CONSPICUOUS PART THEREOF FOR FOUR WEEKS PREVIOUS TO THE EXPIRATION OF THE SAID TENANCY AND TO EXHIBIT IN LIKE MANNER A BILL ANNOUNCING THE SALE OF THE SAID PREMISES BY AUCTION OR OTHERWISE FOR ANY LENGTH OF TIME HE MAY THINK FIT AND THE SAID TENANT SHALL ALLOW APPLICANTS TO HAVE ACCESS TO THE SAID PREMISES TO VIEW THE SAME AT ALL REASONABLE TIMES DURING THE DAY TIME.

AND IT IS FURTHER AGREED THAT IF THE SAID YEARLY RENT OR ANY PART THEREOF SHALL REMAIN UNPAID FOR THE SPACE OF TWENTY-ONE DAYS NEXT AFTER ANY OR EITHER OF THE DAYS APPOINTED FOR PAYMENT THEREOF AS AFORESAID WHETHER THE SAME SHALL HAVE BEEN LAWFULLY DEMANDED OR NOT OR IF THE SAID TENANT SHALL FAIL TO OBSERVE OR PERFORM ALL OR ANY OF THE COVENANTS CLAUSES AND AGREEMENTS ON THE TENANT'S PART HEREIN CONTAINED OR SHALL BECOME BANKRUPT OR FILE A PETITION FOR LIQUIDATION OR COMPOSITION OR SHALL DESERT THE SAID PREMISES FOR SEVEN DAYS THEN AND IN EITHER OF SUCH CASES THE SAID LANDLord MAY RE-ENTER UPON THE SAID PREMISES OR ANY PART THEREOF IN THE NAME OF THE WHOLE AND RE-POSSESS AND ENJOY THE SAME AS IN H[is] FIRST AND FORMER ESTATE AS THOUGH THIS AGREEMENT HAD NEVER BEEN MADE AND THE TENANT AND OCCUPIERS AND ALL OTHER PERSONS CLAIMING UNDER HIM TO EJECT BUT WITHOUT PREJUDICE TO ANY FURTHER CLAIM EITHER BY ACTION AT LAW DISTRESS OR OTHERWISE FOR ANY RENT OR ARREARS OF RENT WHICH MAY BE DUE AND UNPAID IN RESPECT OF THE SAID PREMISES.

AND THE SAID TENANT HEREBY AGREES TO KEEP THE inside of the SAID PREMISES AND THE FIXTURES DURING THE TENANCY HEREBY CREATED IN GOOD AND TENANTABLE REPAIR AND CONDITION AND IN SUCH REPAIR AND CONDITION TO DELIVER UP THE SAME AT THE END OR SOONER DETERMINATION OF THE SAID TERM (CASUALTY BY FIRE EXCEPTED). THE EXPENSE OF THIS AGREEMENT (ONE GUINEA) TO BE PAID BY THE TENANT ON EXECUTION HEREOF.

AND THE SAID TENANT AGREES THAT IT SHALL BE LAWFUL FOR THE LANDLord His HEIRS EXECUTORS ADMINISTRATORS AND ASSIGNS AND His AND THEIR SUPERIOR LANDLORD OR LANDLORDS TO ENTER UPON THE SAID PREMISES AT ALL REASONABLE TIMES DURING THE TENANCY TO INSPECT THE STATE OF REPAIR AND THE LANDLord SHALL HAVE POWER TO DO SUCH STRUCTURAL REPAIRS AS [he] MAY CONSIDER NECESSARY.

AND IT IS[3] MUTUALLY AGREED THAT THE SUM OF        THIS DAY DEPOSITED BY THE TENANT WITH THE LANDL   AS A SECURITY FOR THE FIXTURES SHALL BE RETAINED IN HAND BY THE LANDL   DURING THE TENANCY HEREBY CREATED AND ALLOWED IN PAYMENT OR PART PAYMENT OF THE RENT THAT MAY BE DUE AT THE TERMINATION THEREOF PROVIDED THE SAID FIXTURES ARE LEFT IN THEIR PROPER PLACES IN GOOD REPAIR AND IN THE SAME CONDITION AS THE SAME NOW ARE.

IN WITNESS WHEREOF THE SAID PARTIES HAVE HEREUNTO SET THEIR HANDS AND SEALS THE DAY AND YEAR FIRST BEFORE WRITTEN.
